    a. Regarding the directors, explain elections, rights of directors, management responsibilities, and fiduciary duties

    b. Apply the business judgment rule; explain Shlensky v. Wrigley (found on my website)

    c. Regarding shareholders, explain meetings, voting, preemptive rights, and dividends
